Following are outlines of the specific roles and responsibilities for the 11 Board positions.

This structure, titles and number of board members have specific responsibilities approved and revised in the bylaws and elected formally by the assembly.

BACKGROUND REQUIREMENTS, DUTIES AND RESPONSIBILITIES

All members of the Board of Directors are expected to:

• Meet the qualification outlined in the individual job descriptions.

• Ideally have a minimum of 2 years of Board experience on a Non-Profit Board, or on Corporate Board or she/he must have had a highly active role at the local level to justify shorter tenure.

• Have a minimum of 3 references, 2 from senior network members.

• Prepare for and attend 90% of Board meetings.

• Represent PWN Rome at speaking engagements, conferences, events, etc.

• Attend the Annual Assembly.

• Generally participate in activities of the PWN Rome.

 


 

1) PRESIDENT

ROLE DESCRIPTION

The PRESIDENT (such function may be assumed by two persons acting as Co-Presidents) is the head of PWN Rome. She is responsible for providing overall leadership in the development and implementation of policies to achieve growth and sustainability of Pwn Rome as a whole. The President leads the Board Meetings, encouraging a full and fair discussion of issues while maintaining control of the process.

The President also presides over the meetings of the General Assembly.

The specific activities outlined below are in addition to assuming the duties and responsibilities applying to all Board members to act in accordance with the law and good governance and management practices, see above.

The President does not act in isolation. She consults regularly with fellow Board Members,especially in advance of taking any action, as the ability to plan and unite is critical.

The President, and other designated representatives, have general authority to speak on behalf of PWN Rome and its represents the public face of the City Network. 

 

DUTIES and RESPONSIBILITIES:

Association Governance and Strategy

Leads and coordinates the strategic vision on how PWN Rome can support its continued sustainability and growth.

Providing strong strategic introductions to the network and raising money for the network to ensure PWN Rome has the funds to realize its programs and operating costs in a sustainable fashion.

Leads the Board in recruiting Executive Director and being responsible for managing the Executive Director.

Develops clear goals for the PWN Rome that are consistent with developed and agreed strategies. Sets priorities in terms of investment in specific activities and assignments and identifies which programs will best achieve agreed objectives.

Ensures that all Board of Directors and Committee Leaders adhere to and deliver against their defined roles and responsibilities.

Chairs and develops an agenda for Board Meetings and the annual and extra-ordinary meetings of the General Assembly. This includes soliciting and receiving agenda input and ensuring a timely distribution of the agenda well in advance of the meeting.

Oversees the preparations of the Annual General Meeting.

Participates on President Community calls with Federation Board.

Communicating with the members of PWN Rome.

Writes welcome message for website, reviews quarterly e-Newsletter, and monthly Global Event Newsletter, and contributes to other items as needed.

Assists in the development of the PWN Rome annual report.

Is the official spokesperson for the PWN Global Federation, or delegates these tasks to other members of the Board, as suitable.

Represents PWN Rome in events hosted by third parties that further the mission of network.

Serves as a spokesperson to the media on developing network stories. Confers with providers and other PWN Rome partners, or delegates these tasks to other members of the Board, as suitable.

People management.

Delegates the appropriate responsibility, accountability and decision-making authority.

 Ensures that roles, responsibilities and reporting lines are clear to staff members.

Accurately judges the amount of time and resources needed to accomplish a task and matches task to skills.

Monitors progress against milestones and deadlines.

Regularly discusses performance and provides feedback and coaching to staff.

Encourages risk-taking and supports creativity and initiative.

Actively supports the development and career aspirations of staff.

Appoints interim and special committees, task forces and representatives, and makes replacement appointments.

Time Commitment: This role may require a 5-7 days per month – as with all roles, there will be peaks and troughs in the workload depending on the structure of your immediate volunteer team and strategic goals. Travel of 2-3 times a year on behalf of network activities and conferences, corporate partnership meetings, federation meeting.

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 10 years of progressively responsible business experience, preferably in an international environment. Experience in as many of the following fields as possible: human resource management, law, finance/budgeting, technology or related areas. Experience in managing high level contacts in business, government, international organizations or civil society organizations.

Considerable experience having served as Board Member on a Non-Profit Board, or on Corporate Board.

Demonstrated experience setting strategy and motivating and leading 10+ individuals.

Working across cultures and fluency in written and spoken English. 

 


2) VICE PRESIDENT (SECRETARY GENERAL)

ROLE DESCRIPTION

The Vice President (also “Secretary General ”) is the recording director and custodian of records of the PWN Rome. The Secretary supervises preparation of minutes for Board Meetings, Annual General Meetings and Extra-Ordinary General Meetings. The Secretary is a member of the Executive Management Board (comprising President and Treasurer) with whom she oversees the Board of Directors election process.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board Members to act in accordance with the law and good governance and management practices, see above.

 

DUTIES and RESPONSIBILITIES: 

 Works together with the President to develop the agenda for the Board Meeting and Annual General Meetings.

Takes notes at the Board Meetings and at the Annual General Meeting, at each Board Meeting,the minutes of the previous meeting are introduced by motion of the VP, seconded by another Board member, and approved by a formal vote.

The Board Secretary is responsible for organizing task lists and following-up on action items.

Is responsible for compliance with all legal requirements ensuring from legislation and regulations, and from the articles of association and internal regulations.

Seeks strategic partnerships and alliances with global law firms or others that can support the ongoing growth of the network through contract reviews, strategic insights and other legal matters.

Inputs on strategic discussion - approving decisions from a legal perspective as well.

Participates on monthly board calls and PC - President Community calls Ensures data privacy of our members and compliance with all applicable data privacy laws by external service providers.

Reviews Intellectual Property opportunities - Products related to Mentoring, Empowerment etc. Legal liability protection to the network as we grow and in key areas. Undertakes contract review and advisory work. Participate to Federation call and activities requested for the area.

 Time Commitment: Time Commitment: Approx. 3-5 hours per week. This includes the attendance and participation to monthly Board meetings, requiring a full day plus preparation, and monthly online Network Presidents and General Secretary Meetings.

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 years of progressively responsible business experience, preferably in an international environment.

Legal background

Experience in managing high level contacts in business, government, international organizations or civil society organizations.

Ideally having served as a Board Member on a Non-Profit Board, or on Corporate Board.

Working across cultures and fluency in written and spoken English.

 


 3) TREASURER

ROLE DESCRIPTION

The TREASURER is the primary steward of the PWN Rome financial resources. The Treasurer serves as an advisor to the Board on the financial impact of all decision of the City Network and ensures that the financial aspects of PWN Rome are managed in conformance with the local financial policies and Italian Law and Regulations. All accounts are in Italy. The Treasurer is responsible for ensuring that the PWN ROME’s financial reports is fully available to all members. It is her/his job to inform the Board of the financial implications of any proposed decisions.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board members act in accordance with the law and good governance and management practices, see above.

 

DUTIES and RESPONSIBILITIES: 

Management of revenue and expenses of PWN Rome and define yearly forecast and budget. This includes recording income / expenses, balancing all budgets and closing year end accounts, and preparing all quarterly financial statements for board meetings, reviewing and monitoring all possible discrepancies.

Oversees the review of and monitoring of monthly bank statements against income/expenses recorded, collect, review and pay bills (by check or bank transfer.) Follow up on any unpaid transactions or errors in charges.

Oversees the review Corporate lists and invoices sent, record and monitor ongoing. Review all invoices for the sale of books. This required ongoing checks to ensure all corporate partnership invoices are paid as well as all book invoices from local networks.

For the Assembly, prepare the annual financial statements and budget review and sign off with the external accountant before the meeting date; give a full report at the AGM on the PWN Rome’s financial Alerts the Board to any financial matters that require attention.

Two months in advance of the Annual General Meeting, the Treasurer prepares a draft of (i.) a report to be presented at the Annual General Meeting, and (iii.) a budget for the next fiscal year for approval by the Board.

Monitor and coordinate with respective Board of Director all matters related to the online payment system, data collection and transfer of monies.

Liaises ongoing with PWN Global in regard to financial issues. Maintain relations with Accounting Firm Collects and files all documents related to every transaction.

Provides new Board Members with a basic understanding of the PWN ROME’s financial structure and fiscal policies.

Participate to Federation call and activities requested for the area Time Commitment: Approx. 3-5 hours per week (variable and dependent on creation of a support committee).

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 y of progressively responsible business experience, preferably in an international environment.

Strong experience in accounting and finance/budgeting, in managing funds.

This personal must be knowledgeable with Italian accounting rules and Italian Fiscal laws.

Ideally having served as a Treasurer or Board Member on a Non-Profit Board or on Corporate Board Working across cultures and fluency in written an spoken English.

 


4) DIRECTOR COMMUNICATION & SOCIAL MEDIA

ROLE DESCRIPTION

The Communication & Social Media responsibilities are primarily devoted to our members and potential members. This position is accountable for all the social media strategy of the PWN Rome and for the update of the PWN Rome internet site. It has also a responsibility in finding and redistributing relevant content and comment via our social media channels. The position will also actively search pro bono support for its portfolio.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board Members, see above.

 

DUTIES and RESPONSIBILITIES:

Create and implement a communication strategy to enhance visibility and create interest for PWN Rome, for both members as potential members

• Work closely with key stakeholders to define business objectives, anticipating and developing strategies to meet internal and external business needs and strategy for delivery.

• Owner of communication materials

• Lead in requests input/content from other Board members/Working Groups

• Planning and coordinating communication efforts (website and social media)

• Keep website updated and leads initiatives to add interesting content

• Initiates innovative communication that create dialogue and engagement • Shares responsibility to publish on social media channel about events (before, during, after)

• Works on creating visibility of the network

• Creates a process to monitor ROI and effectiveness of campaigns in achieving strategic goals. • Recruits an engaged committee to assist with above activities

• Participate to Federation call and activities requested for the area

 Time Commitment: Approx. 8-12 hours per week (variable and dependent on creation of a support committee).

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 years of progressively responsible business experience, preferably in an international environment.

• Strong experience in social media & communication

• Ideally having served as a Board Member on a Non-Profit Board, or on Corporate Board ina Marketing and PR role.

• Experience in supplier management.

• Working across cultures and fluency in written and spoken English

 


5_6) CO - DIRECTOR CORPORATE PARTNERSHIPS

ROLE DESCRIPTION

The Director Corporate partnership is a shared position between 2 board member considering that managing corporate is a strategic assert for the PWN Rome. They establish, develop and expand revenue-producing and other beneficial relationships with strategic business, research, technical and related partners that enhance PWN Rome’s positioning. This role will be dedicated to alliance efforts for the PWN Rome to enhance the local positioning and revenue resources.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board Members (see above).

 

DUTIES and RESPONSIBILITIES:

Gains an understanding of the environment in which PWN Rome operates in order to determine trends and needs of current and potential partners that would translate into new opportunities.

Identifies, qualifies and establishes formal relationship with business partners.

Develops a shared IT/CRM system and process for monitoring progress on lead development.

Develops and implements partnership goals and objectives thus finding the best ways to accomplish partner’s needs and objectives.

Supports and facilitates contract negotiations and creates consistency in partnership agreements that involve many or all local networks.

Works with other Board Member to develop and launch new programs services and spearhead successful implementation alliances in a quick and efficient manner.

Manages or identifies a point person to manage ongoing partner relationships and ensures issues are identified, resolved and prevented in future and that new opportunities are identified and pursued.

Expands relationships with current strategic partners by supporting the introduction of additional products and services and the growth of additional users of joint offerings.

Measures, interprets and reports on key alliance performance.

Recruits an engaged committee to assist with above activities Participate to Federation call and activities requested fro the area

Time Commitment: Approx. 3-5 hours per week (variable and dependent on creation of a support committee).

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 years of progressively responsible business experience, preferably in an international environment. Experience in as many of the following fields as possible: human resource management, law, sales, finance/budgeting, technology or related areas.

Ideally having served as a Board Member at the Federation level on a Non-Profit Board or on Corporate Board in a relationship management and/or business development role.

Experience in negotiation, contract management and/or sales.

Working across cultures and fluency in written and spoken English in required in addition to other language is ideal.

 


7) DIRECTOR MEMBERSHIPS EXPERIENCE

ROLE DESCRIPTION

The Director Memberships Experience is responsible for the management of all “member engagement activities”. She/He needs to manage all aspects of a membership scheme. He/ she will have confidence in developing a long-term membership strategy and evaluating and implementing changes to a membership structure as the needs of PWNROME and members demand. This role will be dedicated to attract and recruit new members to enhance the local positioning and revenue resources. This position absorbs all direct marketing activities towards members and potential members, it is responsible for the Direct Email Marketing of the association and all merchandising activities.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board Members (see above).

 

DUTIES and RESPONSIBILITIES:

Creating/reviewing the strategy to retain and recruit new members Understanding members’ needs for networking – a trusted contact for members Receiving, vetting and either accepting or referring for board discussion applications

Handling correspondence and discussions with members pertaining to their membership, fees, transfer, etc.

Managing the membership database (in partnership with Federation)

Greeting and welcoming new members Attending events (when possible) to facilitate membership and do registration

Corresponding with new corporate members when they are added

Contacting potential new members who have indicated interest in the network;

Issuing quarterly newsletter communication

Create loyalty program for members Responsible for the merchandising of PWN Rome

Attending and helping to organize events

Participate to Federation call and activities requested for the area

Time Commitment: Approx. 3-5 hours per week (variable and dependent on creation of a support committee).

 

 IDEAL BACKGROUND / EXPERIENCE:

• A minimum of 6 years of progressively responsible business experience, preferably in an international environment.

• Preferred specialization in Marketing and managing of loyalty programs .

• Ideally having served as a Board Member on a Non-Profit Board or on Corporate Board

• Experience in community management

• Working across cultures and fluency in written and spoken English in required in addition to other languages is ideal

 


8) DIRECTOR EVENTS & PUBLIC RELATION

ROLE DESCRIPTION

The Director Events and Public relation is responsible to oversee and organize events that will make an impact for our target audience. He/She will ensure events are successful and cost-effective, paying attention to budget and time constraints. He/she act as project manager who understand marketing and promotion techniques as well as demonstrate the organizational skills required to not leave anything about an event to chance. The position is responsible as well for PWN Rome public relations and she/he develops and manages a strategy to attract pro-bono partnerships with PR agency support.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board members, see above.

 

DUTIES and RESPONSIBILITIES:

Organizing and coordinating monthly event from start to finish according to requirements, target audience and objectives

Prepare budgets and ensure adherence Source and negotiate with vendors and suppliers

Come up with suggestions to enhance the event’s success

Coordinate all operations

Initiating and tapping in to fun and hot events in the city (fashion, design, museums, etc.)

Assisting in coordinating other events outside regular calendar

Managing website and email notification and registration information

Attending as many events as possible

Assisting with registration desk of events (or else delegating this responsibility)

Ensure event is completed smoothly and step up to resolve any problems that might occurs

Lead promotional activities for the event

Analyze the event’s success and prepare reports

Responsible for PWN Rome public relations: develops and manages a strategy to attract pro-bono partnerships with PR agency support

Hiring and manage the team of volunteers Participate to Federation call and activities requested for the area

Time Commitment: Approx. 5 hours per week (variable and dependent on creation of a support committee). 

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 years of progressively responsible business experience, preferably in an international environment. Project Management Skills, Negotiation Working across cultures and fluency in written and spoken English in required in addition toother language is ideal.


 

9) DIRECTOR EMPOWERMENT PROGRAMS

ROLE DESCRIPTION

The Director Empowerment Programs develops PWN Rome overall strategy for developing and supporting professionally women. Programs will include empowerment workshops and other workshops/programs that can reinforce our mission. He/she is also responsible for developing and supporting a movement of actively engaged senior male champions. The role also creates a toolkit of products/programs that can be used to advocate and implement inclusive leadership strategies.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board Members, see above.

 

 

DUTIES and RESPONSIBILITIES:

Creates and implements an empowerment program strategy for the network, offering our members access to great programs Develops and manages the Annual budget for Empowerment

Programs Manages the relationship with the external stakeholders/providers and with complementary initiative

Propose new initiatives to the board

Develops all briefing material in both English and Italian and articles for our platform

Responds to questions from all parties involved in this initiative via email, address on websites,etc.

Create a document / action plan for continuous improvement of the programs, to ensure traceability over time

Defines with the Board a strategic approach to engage men

Represents PWN Rome when possible during empowerment activities

Recruits an engaged committee to assist with above activities

Participate to Federation call and activities requested for the area

Time Commitment: Approx. 3-5 hours per week (variable and dependent on creation of a support committee).

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 years of progressively responsible business experience, preferably in an international environment. Strong experience in Management preferably with Board experience but not a must, together with experience in as many of the following fields as possible: human resource management, law, finance/budgeting, technology or related areas.

Working across cultures and fluency in written and spoken English in required in addition to other languages is ideal. 

 


11) DIRECTOR MENTORING

ROLE DESCRIPTION

The Mentoring Director in coordination with the Global VP Mentoring and the Board of PWN Rome, develops the PWN Rome’s overall strategy for developing and supporting mentoring activities.

The specific activities outlined below are in addition to assuming the duties and responsibilities of all Board members, see above.

 

DUTIES and RESPONSIBILITIES:

Develop and implement the strategy of the Mentoring Pillar.

Organize the mentoring process: including a detailed list of program content

Collect feedback during and at the end of the program. Incorporate the necessary feedback, suggestions and recommendations in order to increase the value and efficiency in terms of content for both participants in the program and association

Create a document / action plan for continuous improvement of the program, to ensure traceability over time

Collaborate in organizing events, presentations and programs

Create channels for joining the association through the participants in the program

Collaborate with VP Mentoring at the PWN Global Level

Participate in expert calls organized by PWN Global, disseminate information and implement it within the association

Attend the monthly meetings of Mentoring Calls

Support and participate actively in the entire activity of the CD

Create a Mentoring Committee, by attracting volunteers from the association. (Create a community of mentors and mentees)

Participate to Federation call and activities requested for the area

 Time Commitment: Approx. 3-5 hours per week (variable and dependent on creation of a support committee).

 

IDEAL BACKGROUND / EXPERIENCE:

A minimum of 6 years of progressively responsible business experience, preferably in an international environment. Strong experience in Good Governance, Executive Management, preferably with Board experience but not a must, together with experience in as many of the following fields as possible: human resource management, law, finance/budgeting, technology or related areas.

Working across cultures and fluency in written and spoken English in required in addition to other language is ideal.
